Scope: bioreaction systems, auxiliary plants, revamping and laboratory instrumentation (B2B terms).

Art. 1 — Subject of the warranty and conformity

The Manufacturer warrants the goods of its own production against defects in manufacture, material and assembly. The warranty covers the structural integrity of the mechanical components and the conformity of the automation control software (PLC/SCADA) with the technical specifications approved at acceptance testing.

Art. 2 — Differentiated coverage period

The duration of the warranty varies with the type and criticality of the component or plant, as set out below:

  • 24 months: primary structural components (AISI 316L stainless steel vessels, borosilicate glass vessels, heat-exchange jackets, welds and supporting frame).
  • 24 months (auxiliary plants): steam sterilizers, clean steam generators and centralised CIP (Clean-in-Place) washing systems.
  • 12 months (dynamic and electronic components): agitation motors (brushless), peristaltic pumps, data-acquisition and automation electronic boards.
  • 12 months (accessory instrumentation): gas analysers.
  • Excluded from the warranty (consumables): gaskets, O-rings, sterile air filters (in/out) and silicone tubing. These parts are covered only if they show manifest defects at first start-up (FAT/SAT).

Art. 3 — Specific limitations for instrumentation and gas analysers

Analytical instrumentation and, in particular, the electrochemical cells of gas analysers are subject to a limited warranty based on correct use. The warranty lapses immediately if any of the following conditions, caused by non-compliant use, occurs:

  • Condensate and moisture: ingress of liquids or formation of acid condensate due to the failure or incorrect operation of the bioreactor’s gas condensation/separation system.
  • Chemical poisoning: exposure of the sensors to volatile solvents, corrosive substances or chemical compounds not explicitly declared in the plant’s operating specifications.
  • Omitted maintenance: natural drift of the cells due to the normal exhaustion of their potential or to the omission of the periodic calibration required by the operating manuals.

Art. 4 — Rules for plants subject to revamping

For revamping, modernisation or retrofitting of existing plants, the warranty has a strict duration of 12 months and is limited exclusively to the new components installed (e.g. new valves, rebuilt electrical panels, new PLCs) and to the software logic modified or newly implemented by the Manufacturer. Any liability or coverage for pre-existing mechanical, hydraulic or structural parts not supplied by the Manufacturer is expressly excluded.

Art. 5 — How the warranty is provided and travel costs (limitation clause)

The provision of the warranty differs structurally according to the type of goods purchased, excluding ancillary costs borne by the Manufacturer:

a) Benchtop instrumentation and accessories (including gas analysers). The warranty is provided exclusively on a Carry-In (RMA) basis at the Manufacturer’s technical laboratories. The Customer is required to ship the instrument ex works. Shipping, packaging and transport costs (outward and return) are borne entirely by the Customer. Should the Customer expressly request the intervention of a technician at their own premises, replacement components will be free of charge, but travel, subsistence, accommodation and the technical staff’s labour will be charged in full at the rates in force.

b) Plants (bioreactors, CIP, sterilizers, steam generators, revamping plants). Given the logistical immovability and structural complexity of the goods, the warranty is provided On-Site. The warranty covers only the ex works cost of the spare components deemed defective and the labour for their replacement. All costs relating to travel, subsistence and accommodation of the technical staff assigned, and the fixed call-out fee, remain entirely and exclusively at the Customer’s charge.

Art. 6 — General exclusions from the warranty

The warranty does not apply and lapses where the malfunction is caused by:

  • Damage from thermal or pressure shock beyond the nominal limits on the rating plate (e.g. handling errors during autoclave sterilization or SIP/CIP cycles).
  • Use of cleaning chemicals or corrosive process fluids that are not compatible with the declared materials (AISI 316L steel, borosilicate glass, EPDM/Viton gaskets).
  • Modification, tampering with or alteration of the process software or of the factory settings without the prior written authorisation of the Manufacturer.
  • Anomalies or fluctuations in the plant or laboratory utilities (unstable power supply, lack of pure process gases, use of water that is not softened or demineralised in the steam generator, with consequent limescale deposits).

Art. 7 — Limitation of liability and exclusion of indirect damages

It is expressly understood that the Manufacturer’s liability is limited to the repair or replacement of the defective components. Any form of compensation or indemnity for direct or indirect damage to persons or property is excluded, with specific reference to the partial or total loss of biological culture batches, pharmaceutical or biotechnological production runs, loss of experimental process data or damages from sterile plant downtime.

How to claim

The defect must be reported in writing within 8 (eight) days of its discovery, failing which the claim lapses. Write to info@vincilsa.com with the model, serial number and year of the system, adding photographs and process data where possible: our technical service will reply with instructions for repair or replacement.

Extensions and service plans

Scheduled preventive maintenance, IQ/OQ qualification, certified sensor calibration and guaranteed response times are available with the Silver, Gold and Platinum service plans.
